I. Business Group and Economic Environment
1. Presentation of the Group
The Mipa Group is one of the largest paint and paint manufacturers in Germany. There are just over 1000 employees worldwide at several production and sales locations. Besides Essenbach in Bavaria, there are 6 further production sites in Germany, Austria, Switzerland and the Czech Republic. A list of shareholdings is shown in Appendix III.
The product portfolio of the Mipa Group includes high-quality automotive coatings, industrial and construction paints, wood and carpenter paints and fillers. In the highly developed Car Refinish segment, professional users can choose from thousands of "Made in Germany" shades, primers and even clearcoats. The expansion in the area of research and development ensures and guarantees the predominant product development in Germany.
Integrated in complex systems, all stages of professional coating construction are covered. With 360-degree customer focus through our wide range of industry-specific merchandise of various brands, Mipa customers can purchase all the materials and equipment needed for the entire manufacturing process from a single source.
Customers from currently more than 100 countries on all continents can order homogeneous products from decentralized competence and logistics centers worldwide. The sale of own-brand products and merchandise is carried out directly from our locations via our distribution partners as well as through our own branch network in Germany, Hungary and Austria.
Our diversified customer base includes independent dealers, large industrial consumers and professional end users in industry and trade as well as discerning private customers. The fact that Mipa has established itself as one of Europe's most important paint and varnish manufacturers, above all in the Car Refinish segment, is also demonstrated by the successful 2016 financial year.
Diverse services, such as training in the Mipa training and competence centers, use of color-matching systems and many other services contribute to the continuous support and support in all steps of the coating process. Customer-oriented solutions for specific requirements can be developed promptly due to the structure of the Mipa Group with the necessary reliability.
2. Development of the overall economy
In the 2016 financial year, too, the global economy developed roughly as in 2015. Nonetheless, despite average growth of around + 3.2%, they were well below the long-term trend. Global gross domestic product grew by + 2.3%, weaker than in the previous year (+ 2.7%). In the past financial year, many emerging markets, notably the BRIC countries, again slowed than in the past and even recorded a partial decline.
In the reporting year, the Asian region was unable to reach the growth rate of 2015 (+6.3%) at +6.0%. GDP growth i. H. v. + 6.7% of the largest economic zone in China recorded only a slight decline (previous year: + 6.9%). After the Indian economy developed satisfactorily in 2015, a strong growth of +7.5% to +7.9% was again achieved.
Although the US economy increased by + 2.9% in 2015, falling exports, an increasingly strong dollar and weak household consumption led to the lowest economic growth rate of the last 5 years i. H. v. only +1.5%. Due to the decline in exports, the increasing foreign trade deficit in particular had a negative impact on economic growth in the USA.
In Latin America, the economy as a whole developed at -0.6% in the opposite direction. In addition to the continuing negative trend of -3.6% in Brazil (previous year: -3.8%), Argentina also recorded a -1.8% decline in the economy. Nevertheless, countries such as Mexico (+ 2.1%) or Chile (+ 1.6%) were able to post positive growth rates and towards the end of the year contributed to the increasing stabilization of the economic situation in Latin America.
In Russia, due to comparatively low oil prices and existing sanctions by the West, there was a decline of -0.2% in 2016 as well. Other obstacles in business circles include strong state control of the economy but also of non-existent reforms. Although retailing continues to be under pressure due to household austerity measures, the economic crisis should soon be over, especially as oil prices are soaring for Russia.
The key interest rate of the European Central Bank (ECB) was lowered in 2016 from 0.05% to 0.00%. The deposit rate continued to be negative i. H. v. -0.40% occupied. This extremely expansionary course of the ECB and the low energy prices as well as the inflation in Europe led to a moderate growth of the European economy. +1.9% (previous year: +1.5%). In particular, uncertainty over the UK referendum on leaving the EU hindered the growth of the European economy. As a result of the announcement of the upcoming Brexit, a weak UK pound was seen in 2016. As a result, exports from the euro area became more expensive, which in turn led to a dampening of demand.
The development of individual EU member states, however, was again very different. With the exception of Greece (0.0%), positive growth rates were achieved everywhere. Above all, the crisis countries of recent years, such as Spain or Ireland, posted the highest growth rates in 2016 (+ 3.3% and + 5.1%, respectively). It was very similar in Eastern Europe and the economies of the southern European countries stabilized rapidly. The following selected GDP growth rates were achieved in the EU in 2016: Slovakia: + 3.3%, Czech Republic: + 2.6%, Netherlands: + 2.2%, Hungary: + 2.2%, United Kingdom: + 1 , 8%, Austria: +1.5%, France: +1.2%; Italy: +0.9%.
Not only exports but also government spending gave the German economy the strongest growth in 5 years. Within a year, government consumption increased from 2.7% to 4.2%. Consumer prices rose by + 1.8% in the year under review, with GDP actually rising by + 1.9% (previous year: + 1.7%). Not only did low inflation impact positively on consumer purchasing power, but it also provided impetus for major corporate investments in, for example, machinery and vehicles.
Both exports (+ 1.2%) and imports (+ 0.6%) have risen, exceeding the highs from the previous year. Since the United Kingdom with a volume of 27.2 billion euros after the US remains the second most important market, the announcement of the Brexits had a negative impact on exports of the German motor vehicles and motor vehicle parts. Exports of Bavarian companies to Great Britain fell by more than -3.0% in the automotive, electronics and mechanical engineering sectors. As a result, the German automotive industry as the mainstay of the German economy in 2016 could not surpass the record sales from 2015. Nevertheless, the German automotive industry achieved a turnover of i. H. v. 404.6 billion euros (previous year: 404.8 billion euros), of which approx. 63.3% abroad and approx. 36.7% were generated in Germany. According to the Kraftfahrt-Bundesamt, the vehicle stock has increased by more than one million in 2016 and thus increased by +1.9%, with a motor vehicle in Germany averaging 9.3 years old. But also the mechanical engineering has a new record level of revenue with a sales growth of approx. +1.8% achieved.
The German labor market developed in the 2016 financial year, as in the past 4 years, record-breaking positive. The unemployment rate has fallen again, reaching historically low levels of 6.1% (previous year: 6.4%). The record level of the workforce was 43.7 million (previous year: 43.0 million). The number of employed employees of the auto industry is around approx. +2.0%, whereas in the mechanical engineering sector the employment level only increased slightly. A high employment rate, rising wages and salaries, but also low interest rates, have filled the public coffers, as in the previous year. In the state budget, a renewed billion-surplus i. H. v. 6.2 billion euros, after 2015, the record surplus was 19.4 billion euros.
An influencing factor for the economic development was also the weather situation. Although no new heat record was set up as in the previous year, 2016 was far too warm in Germany. Despite abundant rainfall and an extraordinary accumulation of severe thunderstorms in the first half of the year, it remained too dry in Germany on average. However, the warm temperatures that lasted for weeks had a positive effect on the German economy.
3. Development of the paint and paint industry
In 2016, the worldwide consumption of paints and varnishes reached almost 40 million tons, although this trend was less dynamic than in the past fiscal year. With the largest share of 51% in terms of volume, the worldwide sales volume of decorative paints increased by 1.6%. In the year under review, furniture and wood coatings also posted a positive worldwide increase of +2.2%. In the car paint sector, volume production increased by + 4.6% on the one hand and refinishing by + 2.0% on the other. Looking at the general industry sector, In 2016, there was a slight decline in global demand for paint of -0.2%. The total worldwide paint and paint consumption (car series, car repair, corrosion protection, general industry, sheet metal packaging, fire coating, marine paints, other industries and others) increased again in volume by approx. +1.8%. According to estimates, worldwide total sales of paints and coatings will increase by approx. +3.3% increase. Coating consumption in Europe (Western and Eastern Europe) increased in 2016 by approx. +2.4%, whereby the individual areas have developed very differently. Compared to the previous year, the sales of decorative paints in the EU increased by +2.4%. By contrast, the European market for furniture and wood coatings was down i. H. v. -1.2%. In the car paint segment, sales increased both in OEM car painting (+ 2.7%) and automotive refinishing (+ 4.4%). The general industry sector performed similarly positively with an increase of +2.1% of sales. In total, the total consumption of industrial coatings in 2016 increased by + 2.4% compared to 2015. Proportionately, the paint consumption is distributed with approx. 60% on Western Europe and with approx. 40% on Eastern Europe.
As the largest market for paints and varnishes in Europe, Germany with approx. 25,000 employees has approx. 300 manufacturers of paints, varnishes and printing inks, predominantly medium-sized. The total sales of the in Germany manufactured colors, lacquers and printing inks amounted to approx. 8 billion euros in 2016, the majority of which (around 5.5 billion euros) was generated domestically. Although in the past year the weather situation in Germany, especially from May to July, was marked by many local storms and their devastating effects, it was warmer on average for many years and much drier in many regions. This led to a different development in the individual segments within the paint and coatings industry, with 2016 being a rather average fiscal year overall. Despite a generally rather warm and dry year-end, volume sales of decorative paints fell by -2.1%. In contrast, the production of furniture and wood coatings increased by 1.6% compared to the previous year. In the field of car paint, the demand is both in the German car series paint area (+0, 9%) as well as automotive refinish paint (+ 4.3%) increased in volume compared to the previous year. As in the previous year, the general industry segment increased by + 2.0% in terms of volume. However, total consumption of paints and coatings in Germany declined slightly, at -0.7%, whereas in terms of value, the increase was + 0.7%.
II. Situation of the Group
1. Presentation of the course of business
In the 2016 financial year, we achieved our goal of continuing to develop revenue and output volumes positively. Compared to the previous year, growth of i. H. v. +3.3%. The positive development from previous years was achieved with higher sales in the first half of the year. H. v. approx. EUR 5.6 million will be continued. The distribution of sales of the Mipa Group in the 3 sales regions in the 2016 financial year was also comparable to the previous year. In Germany, sales amounted to approx. 35.4% of total sales. In addition to Germany, approx. 42.0% of sales. The remaining 22, 6% of Group sales were realized in the rest of the world. As in the previous year, most of the Group's revenue was generated in 2016 by the German companies.
The energy price changes in the past year were hardly noticeable due to the constant further development of energy management. The gas and electricity demand in Germany is bundled primarily with the more energy-intensive companies and prices fixed in the medium term.
In the area of materials procurement, a slight increase in raw materials could be observed towards the end of the year.
As in the previous year, there were no procurement bottlenecks in the past financial year.
The consistently low material quota in recent years was further improved in the past financial year with a -2.6% drop in cost of materials. As expected, the improvements made in the area of Strategic Purchasing in the previous year showed further tangible purchasing benefits. The long-standing cooperation with trusted raw material suppliers ensures Mipa the permanently high product quality.
2. Sales and earnings position of the Group
Consolidation of the companies included in the scope of consolidation of the Mipa Group took place on 31.12.2016. The consolidated companies have a marketing year consistent with the parent company. The following table shows the earnings situation of the Group:

Sales of the Mipa Group increased by approx. +3.3% to approx. 176,929 thousand. Roughly 50.0% of sales are generated in the automotive refinish sector.
The return on sales amounted to 7.1% in the past financial year (previous year: 6.1%).
In the reporting year, other operating income fell by approx. -2.7%. The balance of other operating expenses increased by +14.1% compared to the previous year.
The cost of materials fell by approx. -2.6%. Compared to the previous year, the cost of materials ratio improved to 48.4% in 2016.
In 2016, the annual personnel expenses amounted to approx. EUR 41,929 thousand and is not affected by special items by approx. +5.5%. The reasons for the increase are the growth in staff and the inflationary rise in personnel costs per employee. In the coming financial year, we expect a further increase, which will be due to the further expansion of the workforce.
Depreciation increased from EUR 2,862 thousand in 2015 to EUR 2,895 thousand in the past financial year. The commissioning of new production facilities in Germany and Hungary was slightly noticeable here.
As in the previous year, the operating result again showed a significant increase i. H. v. + 8.9%. EBIT increased to EUR 17,346 thousand in 2016 (previous year: EUR 15,935 thousand).
The financial result of EUR -275 thousand in 2016 was significantly below the previous year's level.
In the past financial year, the results of ordinary business activities (previous year: EUR 15,419 thousand) were waived for the first time in accordance with the changes introduced by BilRUG.
Income tax expense fell to EUR 4,396 thousand in the reporting year due to deferred tax assets.
Earnings of EUR 12,590 thousand were approx. + 20.8% increase.

As in previous years, the financial position of the Group developed very positively in the past financial year. In the 2016 financial year, the working capital ratio increased from 2.5 to 2.9. The liquidity position of the Mipa Group remains very good. The balance sheet total increased in 2016 to EUR 97,666 thousand (previous year: EUR 85,318 thousand).
On the asset side, trade receivables and bank balances increased significantly, as in the previous year, due to sales. In addition to fixed assets, receivables and other assets account for the largest percentage of the assets of the Mipa Group i. H. v. approx. 28.8% of total assets.
The investment intensity, ie the ratio of fixed assets to total assets, is 29.2%. Inventories account for 23.0% of the balance sheet total. Property, plant and equipment increased by + 12.0% in 2016 compared with 2015 and amounts to EUR 24,031 thousand (previous year: EUR 21,464 thousand). Financial assets grew by + 32.6% to EUR 2,023 thousand (previous year: EUR 1,526 thousand) in this period.
On the liabilities side, equity increased by EUR 11,953 thousand to EUR 66,816 thousand. The financial structure of the Mipa Group was again characterized in the year under review by a high equity ratio, which increased by another approx. + 4.1% of approx. 64.3% to approx. 68.4% could be increased. This high quota gives the group sufficient security with regard to unforeseen developments. It also creates room for maneuver in the event of cooperation or takeover options that arise in the short term on the market. The return on equity of 18.8% in the current financial year is slightly below the value of the previous year (19.0%).
In the past financial year, the Mipa Group invested in property, plant and equipment and intangible assets in the amount of approx. 7.2 million euros.
Provisions increased by + 13.2% year-on-year to EUR 6,329 thousand. On the liability side, liabilities in the year under review increased by approx. -2.0% to € 23,719 thousand. Liabilities to banks contained therein were reduced by 7.3% from EUR 11,736 thousand to EUR 10,874 thousand and are again at a very low level.

In the year under review, the net income for the year of EUR 12,590 thousand was significantly increased compared to the previous year.
Operating cash flow amounted to EUR 13,526 thousand in 2016. Current business activity is financed by the freely available funds. Cash flow from investing activities amounted to EUR 5,761 thousand in 2016. Furthermore, the cash flow from financing activities amounted to TEUR 1,534. This position reflects the self-financing power in the form of increased investment activities and the reduction in liabilities of the Mipa Group to banks in the year under review.
Due to the aforementioned cash flows, there was a change in cash and cash equivalents i. H. v. 18,167 thousand. Bank loans and credit lines as well as intra-group liquidity compensation through our still high liquidity reserves ensure sufficient capital requirements in the Group. The existing liquidity risk can therefore be classified as very low.
Repayment obligations that can have a negative impact on the financial and liquidity position do not exist.
5. Investments
Investment projects are constantly analyzed, evaluated and implemented. Necessary investments are implemented in all divisions of the Group with the help of our strategic investment planning in order to meet further growth. Investments in our machinery and equipment park, IT infrastructure, forklift trucks and motor vehicles account for a considerable amount of the annual replacement and expansion investments required.
After the Group subsidiary Streicolor AG set up a branch in Bitche, Lorraine, a few years ago, the branch was separated from Streicolor AG, renamed to an independent company and merged with Mipa Coating France Renamed SAS. In order to keep up with the growth of the company, a real estate extension was carried out in March and construction of another warehouse started. Through sales changes, the current product range,
In Portsmouth, England, in March 2016, the Group subsidiary MIPA Paints Ltd. was founded. Due to the excellent company development and the steady growth, a 5,000 m 2 property was acquired. The development, originally planned for the summer, was postponed due to the current Brexit developments. The new warehouse building is with an area of about 3,000 m 2in addition to provide space for offices and a training center. The goal in the future is to improve the working conditions of employees and to create room for further growth in England.
In April 2016, the German subsidiary Primacolor GmbH acquired and reopened a direct market of a customer in Urmitz / Rhein, near Koblenz. Through the shop with an area of approx. 300 m 2 , the existing branch network of Primacolor GmbH will be expanded and in the future, among other things Mipa car paints in the region distributed.
On May 1, 2016, the 10th direct market of the Group subsidiary Mipa Direkt GmbH was opened in Penzberg, Bavaria. The 400 m 2 specialist market for paints and coatings enables the further successful expansion of the regional presence and can convince not only the private user but also the professional craft of the products of MIPA SE.
The direct-market branch network was expanded not only in Germany, the main sales area of the Mipa Group. The subsidiary Mistral Paints sro in Kladno, north-west of the capital city of Prague, opened its first branch in the neighboring Czech Republic at the end of June. In addition to the Mistral headquarters in Prague, the new paint and varnish retail market is not only intended to serve private customers or professional users in the vicinity with a comprehensive delivery service, but also to expand the existing sales network of trading partners to a further own sales location.
With the opening of the new branch in the rapidly growing Hungarian city of Miskolcz, the Group subsidiary MIPA-Color Kft. Has also expanded its existing retail network. The product range includes automotive paints, construction paints, wood coatings and merchandise.
In the 2016 financial year, the total investment volume compared to the previous year of approx. 4.1 million euros clearly at approx. Increased by 7.4 million euros.
To increase our production and filling capacities, investments will continue in the next fiscal year in machinery and equipment. By purchasing the new shipping warehouse, vacated storage areas will be used for expansion. In addition, additional investments are planned for refurbishment and the expansion of existing buildings in several locations.
Ongoing investment activities and significant maintenance and upkeep costs ensure planned future growth. The production location Germany remains of great importance to the Mipa Group. The future new and replacement investments were planned with a volume of more than 13.5 million euros.
6. Research and Development
Ongoing optimization in the area of research and development is indispensable in the form of development and market launch of new products and current technologies as well as ongoing color coding for mixing systems also in the Mipa Group. The product portfolio is constantly being revised and adapted to meet customer requirements in a sustainable and ecologically correct manner. Especially in the area of low-solvent and -free coating systems further developments due to constant changes of the legal regulations are decisively responsible for the success on the market.
In the past year, expenses in the area of research and development and quality management i. H. v. approx. 4.5 million euros.
As in the previous year, the departments Coloristics, Quality and Product Management as well as Application Technology will ensure the provision of innovative and high-quality products as well as customer-specific formulations of shades, especially for professional users with the highest demands.
7. Staff

einen kontinuierlichen Ausbau der zweiten und dritten Führungsebene. Auch in Zukunft
wird weiter in die Rekrutierung und Bindung von Hochschulabsolventen oder qualifizierter
Mitarbeiter mit vergleichbaren Ausbildungen investiert. Nachhaltiges Personalmanagement
in der Mipa Gruppe soll steigendem Fachkräftemangel entgegensteuern. Interne und externe
Weiterbildungsmaßnahmen für Mitarbeiter im kaufmännischen wie auch in den technischen
Bereichen finden regelmäßig statt. Diverse Maßnahmen sollen den Bekanntheitsgrad der
Mipa Gruppe weltweit als Arbeitgeber erhöhen.

Occupational health and safety and the medical care of employees, which go beyond the statutory provisions, will continue to contribute significantly to the consistently low sickness rate and low absenteeism in the future.
The number of employees in 2016 averaged 1007 people. At the end of the year, there were a total of 50 apprentices in various training occupations in the Mipa Group.
8. Environment
As a global group, we are aware of the responsibility towards the environment, customers and employees. Our ongoing environmental management system according to DIN EN ISO 14001: 2015 makes a significant contribution to harmonizing ecology, economy and social aspects. The parent company is certified for the first time by LGA Intercert GmbH in the 2017 financial year. Further subsidiaries of the Mipa Group have begun preparatory measures regarding the planned future introduction at other locations. Processes were analyzed, evaluated and adjusted accordingly.
We consider the protection of the environment and natural resources in the development, production and marketing of our products far beyond the requirements of the legislator. Furthermore, the protection of the painted object can be guaranteed by using state-of-the-art technologies and the use of environmentally friendly raw materials and coating systems. Through regular training of our employees, we increase awareness of corporate environmental protection and make an additional contribution to environmental and climate protection.
From a technical point of view, we constantly invest in exhaust air purification and ventilation systems with regenerative afterburning, groundwater cooling systems and low-emission forklifts at our sites.
In complex recycling procedures polluted solvents are cleaned and reused. Via the subsequent supply to the post-combustion plant, inter alia, container laundries can be operated largely emission-free.

III. Expected development of the company, significant risks and opportunities

1. Expected development
According to the forecasts of the International Monetary Fund (IMF), the global economy will grow in the next 2 years i. H. v. +3.4% and +3.6% respectively. With anticipated economic growth i. H. v. + 4.5%, the developing and emerging economies will make their contribution to the global economy in 2017.
For China, a slightly lower increase in the economy is expected than in 2016. The gross domestic product will probably increase by only +6.5%. After decades of sometimes double-digit growth, the government wants to focus its export-driven economic model on the domestic economy and encourage private consumption, thereby accepting less growth.
Despite the weakest growth in consumption over the last 7 years, economic growth is expected to accelerate in 2017 due to the Trump Administration's expected measures to strengthen the US dollar and raise key interest rates. H. v. about +2.3% in the US predicted.
Although the economy has posted negative growth rates over the last two years, the economy in Latin America will rise slightly in 2017. Predicted growth i. H. v. +1.6% is mainly due to the changes of government in Brazil, Argentina and Peru, which lead to an economic policy orientation towards more free trade and deregulation.
In Russia too, the last years of the economic downturn from 2017 should be a thing of the past. The IMF expects growth of around +1.0% for the Russian economy. Through government measures such as a more flexible exchange rate policy, capital grants for banks and fiscal stimulus, the basis for this future upswing was created at the end of 2016.
For the European Union, GDP growth of + 1.8% is expected over the next two years, with not just the euro area Member States but the entire Union likely to show this growth. It should be emphasized that in all Member States, even in Greece, the economy is likely to grow. Countries such as Portugal, Spain and Ireland, which have been hit hardest by the financial crisis, will continue their recovery in recent years.
Germany, with +2.0% expected economic growth, will only be in the European midfield, as in the past two years, but unemployment will reach another record low. According to the industry association VDA, the rapid growth of the global automotive market will weaken somewhat in 2017. After 2016, the global car sales by approx. +5.0% is expected to grow in 2017 H. v. only approx. + 3.0%. A decisive factor here will be the VAT increase for smaller cars in the world's largest car market, China, after a VAT cut in 2016 has led to double-digit domestic sales growth. Sales in China are therefore expected to increase by only +5.0% in 2017 in the automotive industry.
Important growth countries in 2017 are India with +5.5% growth of the passenger car market and Spain with an expected +8.0%. In addition to slower growth in France and Italy, BREXIT in the United Kingdom is expected to reduce its growth. In Germany, the new car market pushed through high discounts and self-registrations will stagnate in 2017.
Based on our previous certification according to 14001: 2015 (Environmental Management Systems), from 2017 we will make an additional active contribution to environmental and climate protection with our planned membership in the Environmental Pact, an agreement between the Bavarian State Government and the Bavarian economy. In all areas, resource savings and the use of green technologies will be further strengthened to deliver green growth in the years to come.
The Mipa Group plans further group growth in international markets. Developments in the European market are being watched with corresponding sensitivity, as increasingly restrictive environmental legislation can potentially have a major impact on our sales.
A further intensification of the close and good cooperation with our customers is essential due to complex tasks as well as globalization. We are in constant dialogue with our partners in order to optimally solve and implement key customer-specific problems and market trends. In the coming financial year, a renewed expansion of market share, sales area and customer base is planned.
Key success factors in the following financial years are solid and sustainable financial management and cost orientation in the Group. Maintaining economic independence of the Mipa Group will once again be a top priority in 2017. This ambitious goal, with very little liquidity risk, can be achieved through existing credit lines with our long-standing partner banks, cooperation with our financial partners and suppliers and our high liquidity reserves. Furthermore, we benefit from a very good credit rating with credit insurers and credit bureaus. Growth and the associated investments can continue to be sustainably financed.
Suitable financing instruments are expected to hedge any future currency or interest rate change risks that could adversely affect the consolidated net income.
In 2017, we see our asset and capital structure as well as liquidity at the level of recent years.
Despite year-on-year increasing challenges in all areas in 2017, we are assuming a slightly positive development of sales with an appropriate level of earnings. The existing presence in various important, international and promising sales markets and industries worldwide will be helpful. Thanks to the depth of our product portfolio and continuous innovation, we are able to focus on sustainability and future orientation despite cautious economic forecasts and look to the future with optimism about the Mipa Group.
2. Risks
The Mipa Group continuously examines the critical examination of risks and opportunities in all areas. As part of the ongoing risk minimization, specific, risk-related aspects are constantly considered. The early identification of risks and opportunities and the right evaluation are essential for the targeted development and use of suitable countermeasures.
With regard to specific risks, such as environmental damage, such as fire, transport damage or production risks, and existing general market risks, no change was made to our risk assessment in the past financial year.
As a paint and paints producer, the Mipa Group is initially confronted with risks of failure in the production process. Potential default risks and associated additional costs are significantly minimized by the Maintenance department. In the event of damage, the service life can be kept very low and the supply of the customers can be ensured to a high degree.
The IT department regularly invests in hardware and software to prevent the increased threat of potential unauthorized access to data or data misuse. The IT landscape is subject to a permanent review. The special design and use of emergency generators can compensate for power outages and ensure the ability of our core services to function properly.
Price developments in the raw materials sector and the energy market are an important influencing factor for paint manufacturers. Margin and premium rate can be strongly influenced by price increases for raw materials, as material usage rates of 50.0% to more than 60.0% can not be passed on to the market in the short term. For many suppliers, Mipa is a significant and reliable partner in the customer portfolio. However, the German paint industry is struggling with the highest prices for raw materials. Due to the growth in the Mipa Group, new procurement options can be used to to minimize serious risks related to dependence on raw material suppliers. Delivery bottlenecks, which can lead to loss of sales or even loss of customers, should be avoided through correspondingly higher purchase volumes or pricing arrangements with suppliers and the development of new procurement markets. The strategic measures taken in 2015 still have a partially positive impact on the use of materials and can help us achieve further savings in 2017.
Environmental factors are among the factors in our industry that have a negative impact on business volumes and can regularly lead to negative earnings. Mipa has a broad range of services with a global focus. In order to be able to provide for a better balance and a constant order situation with various sales and turnover fluctuations, our sales divisions have for many years been selling Mipa products via various channels to a broad customer base, meanwhile around 100 countries, on all continents.
Our ongoing quality management ensures a consistent quality policy in the group. We meet the new requirement for systematic handling of risks and opportunities by identifying, analyzing and evaluating risks and opportunities, as well as planning countermeasures and implementing and controlling their effectiveness. The quality management system according to DIN EN ISO 9001 has been certified by LGA Intercert GmbH since 1996. Since 2010, the certification takes place via a matrix certification. The requirements for group and group certification according to the requirements of the general terms and conditions for the certification of management systems are fulfilled. All participating companies have the same orientation, operate under a quality management system and are guided by a quality management documentation that applies to all companies with a uniform quality policy and common quality objectives. Audit reports, corrective actions and their assessments as well as the evaluation of the quality management system are made available to the certification body. Since 2010, all production sites of the Mipa Group have been tested using a sampling procedure. The existing certificate according to DIN EN ISO 9001: 2015 is valid until December 17, 2018. At this time, the next recertification audit will take place.
In addition to specific risks, there are general market risks, such as bad debts, which, however, can be kept at a very low level through consistent credit checks and dunning strategies. Payment terms and credit limits will continue to be adapted to the market situation and the quality of each customer in the future, and will be reviewed on an ongoing basis. Securing liquidity and preserving capital are of paramount importance to the Mipa Group. Due to the sales structure, further special business risks, such as price risks, are to be considered insignificant.
All feed materials available under REACH (Registration, Evaluation, Authorization and Restriction of Chemicals) must be known due to the lengthy process of obtaining an appropriate manufacturing authorization. The list of chemicals legislation REACH is regularly extended to include other chemicals with questionable properties. As paint and paint manufacturers, we are constantly challenged by future changes in legislation in chemicals legislation, substitute raw materials and supplies for new specifications. Foreseeing the further development of German as well as European legislation and its potential consequences for our business is relatively difficult. Our research department is therefore constantly looking for solutions to be able to provide our customers with alternative solutions in good time if necessary.
3. Opportunities
For the 2017 financial year, we see potential in all markets.
As forecast for 2016, Germany continues to play a decisive role worldwide in the automotive and paint sectors. This is also confirmed by the annual paint and color sales figures in Europe.
In the economically strong region of Germany, we see good chances to further consolidate previous successes and to further expand market shares. In the past financial year, an increase in sales of approx. +7.8% achieved. In order to achieve further growth in the domestic market in the future, an even more efficient and faster delivery process is planned.
The constant growth course of the Mipa Group, not only in Germany, will be continued by further future international mergers.
As in the previous year, the still low level of interest rates and the resulting positive impulses will have a positive effect on the planned investments.
As the fifth largest economy in the world and the second largest in Europe, France promises great growth potential for the future. To better serve the paints and coatings market in France, we plan to expand our distribution network through acquisitions of other companies in the largest economic regions of France.
The growth in the Mipa Group should also be ensured through the further expansion of the sales field service, the branch network of the direct markets, the acquisition of new customers worldwide and the further development of existing customers.
The demand for wood and furniture varnish, paint for kitchen furniture as well as electrical and household appliances and above all for corrosion protection also developed positively.
In the area of coating systems, the international competition offers constantly new opportunities to offer customers further innovations in terms of high-quality coatings for the sustainable extension of the life of investment and consumer goods as well as buildings. In the future, different climatic, legal and country-specific requirements will contribute to this.
The Mipa Group sees opportunities in the area of substitution products, including changes to key chemicals laws and regulations, such as REACH, VOC (Volatile Organic Compounds) and Decopaint, quite likely due to intensive research and development activities, ongoing enlargement and optimizing the product portfolio and the corporate structure in a timely manner.
The further expansion of training opportunities for theory and practice helps us to optimally support our partners in all necessary processes. The training centers regularly offer comprehensive training courses and trainings on product and system solutions. This exchange of information makes a decisive contribution to securing the global competitiveness and implementation of specific customer-oriented requirements.
IV. Events of particular significance after the end of the financial year
The 2017 financial year went according to plan, in particular the sales developed at planned level. In 2018, we expect a positive sales development with an appropriate earnings situation.
Other reportable matters were not recorded after the end of the financial year.

Supervisory Board Report
The Supervisory Board of MIPA SE, consisting of Berndt Fritzsche (Chairman), Prof. Josef Weindl and Rudolf Greiner met in 2016 for 2 sessions on 02.08.2016 and 19.12.2016 at the premises of MIPA SE in Essenbach.
In both meetings, the Management Board of MIPA SE informed the members of the Supervisory Board about the current business development of MIPA SE and the economic development of the individual companies of the Mipa Group. The status of current investments was also reported, and future investment projects were discussed and approved by the Supervisory Board.
Mr. Berndt Fritzsche was also informed in a timely and detailed manner throughout the year through regular participation in board meetings on current topics and the development of the company and the entire group.
The annual financial statements including the management report for the 2016 financial year were prepared by the Management Board of MIPA SE. There is agreement between the Management Board and the Supervisory Board regarding the situation and the further development of the company and the entire Group.
Following a positive review of the annual financial statements, the management report and the proposal for the appropriation of profits by the auditing firm SL Revision GmbH, Landshut, the Supervisory Board raises no objections.
In conclusion, it should be noted that the Mipa Group's consistently positive performance for many years has been maintained in the 2016 financial year.
On behalf of the Supervisory Board, the Chairman thanked the Executive Board, executives and all employees for their commitment and good results in the year under review.

des Abschlussprüfers
Wir haben den von der MIPA SE, Essenbach aufgestellten Konzernabschluss — bestehend
aus Bilanz, Gewinn- und Verlustrechnung, Anhang, Kapitalflussrechnung und Eigenkapitalspiegel
— und den Konzernlagebericht für das Geschäftsjahr vom 1. Januar 2016 bis 31. Dezember
2016 geprüft. Die Aufstellung von Konzernabschluss und Konzernlagebericht nach den
deutschen handelsrechtlichen Vorschriften liegt in der Verantwortung der gesetzlichen
Vertreter der Gesellschaft. Unsere Aufgabe ist es, auf der Grundlage der von uns durchgeführten
Prüfung eine Beurteilung über den Konzernabschluss und den Konzernlagebericht abzugeben.
Wir haben unsere Konzernabschlussprüfung nach § 317 HGB unter Beachtung der vom
Institut
der Wirtschaftsprüfer (IDW) festgestellten deutschen Grundsätze ordnungsmäßiger Abschlussprüfung
vorgenommen. Danach ist die Prüfung so zu planen und durchzuführen, dass Unrichtigkeiten
und Verstöße, die sich auf die Darstellung des durch den Konzernabschluss unter Beachtung
der Grundsätze ordnungsmäßiger Buchführung und durch den Konzernlagebericht vermittelten
Bildes der Vermögens-, Finanz- und Ertragslage wesentlich auswirken, mit hinreichender
Sicherheit erkannt werden. Bei der Festlegung der Prüfungshandlungen werden die Kenntnisse
über die Geschäftstätigkeit und über das wirtschaftliche und rechtliche Umfeld des
Konzerns sowie die Erwartungen über mögliche Fehler berücksichtigt. Im Rahmen der
Prüfung werden die Wirksamkeit des rechnungslegungsbezogenen internen Kontrollsystems
sowie Nachweise für die Angaben im Konzernabschluss und Konzernlagebericht überwiegend
auf der Basis von Stichproben beurteilt. Die Prüfung umfasst die Beurteilung der Jahresabschlüsse
der in den Konzernabschluss einbezogenen Unternehmen, der Abgrenzung des Konsolidierungskreises,
der angewandten Bilanzierungs- und Konsolidierungsgrundsätze und der wesentlichen
Einschätzungen der gesetzlichen Vertreter sowie die Würdigung der Gesamtdarstellung
des Konzernabschlusses und des Konzernlageberichts. Wir sind der Auffassung, dass
unsere Prüfung eine hinreichend sichere Grundlage für unsere Beurteilung bildet.
Unsere Prüfung hat zu keinen Einwendungen geführt.
Nach unserer Beurteilung aufgrund der bei der Prüfung gewonnenen Erkenntnisse entspricht
der Konzernabschluss den gesetzlichen Vorschriften und vermittelt unter Beachtung
der Grundsätze ordnungsmäßiger Buchführung ein den tatsächlichen Verhältnissen entsprechendes
Bild der Vermögens-, Finanz- und Ertragslage des Konzerns. Der Konzernlagebericht
steht in Einklang mit dem Konzernabschluss, vermittelt insgesamt ein zutreffendes
Bild von der Lage des Konzerns und stellt die Chancen und Risiken der zukünftigen
Entwicklung zutreffend dar."

für das Geschäftsjahr 2016
A. Vorbemerkung
I. Allgemeines
Der Konzernabschluss der MIPA SE, Essenbach wurde zum 31.12.2016 nach den Konzernrechnungslegungsvorschriften
der §§ 290 ff. HGB aufgestellt.
Gemäß § 299 Abs. 1 HGB wurde der Konzernabschluss auf den Stichtag des Jahresabschlusses
des Mutterunternehmens aufgestellt und umfasst den Zeitraum vom 01. Januar bis zum
31. Dezember 2016. Die Aufstellung der Jahresabschlüsse der in den Konzernabschluss
einbezogenen Tochterunternehmen erfolgte ebenfalls zu diesem Zeitpunkt.
Die Konzernobergesellschaft wurde am 12. Januar 2015 in das Handelsregister beim
Amtsgericht
Landshut unter der Nummer B 9854 eingetragen.
Die Gewinn- und Verlustrechnung wurde nach dem Gesamtkostenverfahren aufgestellt.
Die Aufstellung des Konzernabschlusses erfolgte in Euro.
Um die Klarheit der Darstellung zu verbessern, sind einzelne Posten der Bilanz
und
der Gewinn- und Verlustrechnung zusammengefasst. Diese Posten sind im Anhang gesondert
ausgewiesen und erläutert. Aufgrund von Umgliederungen im Sachanlagevermögen im Berichtsjahr
wurden die Vorjahreswerte zur besseren Vergleichbarkeit angepasst.
In den Konzernabschluss sind neben der MIPA SE mit Ausnahme der gesondert aufgeführten
Gesellschaften alle in- und ausländischen Unternehmen einbezogen, an denen die Gesellschaft
unmittelbar oder mittelbar die Mehrheit der Stimmrechte zusteht:

Die Umrechnung des Eigenkapitals der mit *) gekennzeichneten Gesellschaften erfolgt
zum Stichtagskurs, die Umrechnung des Jahresergebnisses mit dem Jahresdurchschnittskurs.
In Anlehnung an § 294 Abs. 2 HGB wurde auf ergänzende Angaben zur besseren Vergleichbarkeit
des Konzernabschlusses verzichtet.
Die Schutzklausel gemäß § 313 Abs. 2 Nr. 4 HGB i.V.m. § 313 Abs. 3 S. 4 HGB wurde
für drei Gesellschaften in Anspruch genommen. Wegen drohender Entstehung von Nachteilen
gegenüber Wettbewerbern hinsichtlich erheblicher Umsatzeinbußen sowie der Beeinträchtigung
der Marktstellung wurde auf die Angabe von Name, Sitz und Kapitalanteil verzichtet.
Bezugnehmend auf § 311 Abs. 2 HGB sind die Beteiligungen unter c.) für die Vermittlung
eines den tatsächlichen Verhältnissen entsprechenden Bildes der Vermögens-, Finanz-
und Ertragslage des Konzerns von untergeordneter Bedeutung.
Das Tochterunternehmen MIPA Direkt GmbH, Landshut, macht von den Erleichterungsmöglichkeiten
des § 264 Absatz 3 HGB Gebrauch.
Im ersten Quartal 2016 erfolgte die Gründung der MIPA Holding France S.A.S. mit
Hauptsitz
in Vetraz-Monthoux, Frankreich, durch die MIPA Holding AG, Schweiz. Auf die Mipa Gruppe
entfällt 100 % vom Eigenkapital i.H.v. 600 TEUR.
Anfang 2016 erfolgte die Gründung der Streicolor S.A.R.L. aus der unselbstständigen
Betriebsstätte der Streicolor AG (Bitche). Die Streicolor S.A.R.L. wurde danach in
die Mipa Coating France S.A.S. umfirmiert und von der Streicolor AG an die MIPA Holding
France S.A.S. verkauft. Auf die Mipa Gruppe entfällt 100 % vom Eigenkapital i.H.v.
100 TEUR.
In April 2016 wurden 7,108% der Anteile an der RJP Panel & Paint Supplies Ltd.
in
Cristchurch, Neuseeland, erworben. Die Gesellschaft wird nicht in den Konzernabschluss
einbezogen.
An die Minderheitsgesellschafter der Mipa Lacke + Farben AG wurden 30 TCHF ausgeschüttet.
II. Konsolidierungs-, Bilanzierungs- und Bewertungsmethoden
Die Konsolidierung der Mipa Gruppe erfolgte auf der Grundlage der Einzelabschlüsse
der einzelnen Gesellschaften. Einzelabschlüsse der ausländischen Tochtergesellschaften
wurden dabei nach den jeweils maßgeblichen landesüblichen Bilanzierungsgrundsätzen
aufgestellt. Sämtliche Jahresabschlüsse der einbezogenen Gesellschaften wurden, sofern
erforderlich, auf die einheitlich im Konzernabschluss angewandten Bilanzierungs- und
Bewertungsmethoden nach §§ 300 und 308 HGB angepasst. Die Gliederung der Bilanz erfolgt
gemäß § 266 HGB, die Gliederung der Gewinn- und Verlustrechnung nach § 275 Abs. 2
HGB.
Die Kapitalkonsolidierung wurde für alle Gesellschaften, die vor Anwendung der
Vorschriften
nach BilMoG erstmals konsolidierungspflichtig waren, nach der Buchwertmethode gemäß
§ 301 Abs. 1 Satz 2 Nr. 1 HGB a.F. i.V. mit Artikel 66 Abs. 3 EGHGB durchgeführt.
Somit ist zum Zeitpunkt der erstmaligen Einbeziehung in den Konzernabschluss die Verrechnung
der Anschaffungskosten an der Beteiligung mit dem auf das Mutterunternehmen entfallenden
anteiligen Eigenkapital zu berücksichtigen.
Für Neuanschaffungen und Erstkonsolidierungen nach BilMoG erfolgte die Kapitalkonsolidierung
durch Anwendung der Neubewertungsmethode gemäß § 301 Abs. 1 Satz 2 HGB. Dabei werden
die Anschaffungskosten der Anteile an den einbezogenen Tochterunternehmen mit dem
jeweils anteiligen Reinvermögen basierend auf den beizulegenden Zeitwerten der übernommenen
Vermögenswerte und Schulden dieser Unternehmen zum Zeitpunkt des Erwerbs verrechnet.
Ein nach der Verrechnung verbleibender aktivischer Unterschiedsbetrag wird als Geschäfts-
oder Firmenwert, ein passivischer Unterschiedsbetrag als Unterschiedsbetrag aus der
Kapitalkonsolidierung, ausgewiesen.
Für nicht dem Mutter-oder Tochterunternehmen gehörende Anteile an in den Konzernabschluss
einbezogenen Unternehmen wurde ein Ausgleichsposten für Anteile anderer Gesellschafter
in Höhe ihres Anteils am Eigenkapital unter der entsprechenden Bezeichnung innerhalb
des Eigenkapitals gesondert gemäß § 307 Abs. 1 HGB ausgewiesen.
Forderungen und Verbindlichkeiten zwischen den in den Konzernabschluss einbezogenen
Unternehmen wurden aufgerechnet.
Die aus dem Liefer- und Leistungsverkehr zwischen den Konzernunternehmen erwirtschafteten
Zwischengewinne sind im Berichtsjahr von untergeordneter Bedeutung. Die Regelung des
§ 304 Abs. 2 HGB findet Anwendung.
In der Konzern-Gewinn- und Verlustrechnung sind sowohl die Umsatzerlöse als auch
die
anderen Erträge aus dem Liefer- und Leistungsverkehr zwischen den einbezogenen Unternehmen
mit den auf sie entfallenden Aufwendungen sowie mit den Zinserträgen und -aufwendungen
verrechnet worden.
Anlagevermögen
Entgeltlich erworbene immaterielle Vermögensgegenstände werden zu Anschaffungskosten,
vermindert um planmäßige lineare Abschreibungen sowie bei voraussichtlich dauernder
Wertminderung um außerplanmäßige Abschreibungen, bewertet. Die jeweilige Nutzungsdauer
bemisst sich anhand der Laufzeit des zu Grunde liegenden Vertrags oder des voraussichtlichen
Verbrauchs des Nutzenpotentials des immateriellen Vermögenswerts.
Die Sachanlagen sind mit Anschaffungs- oder Herstellungskosten, vermindert um planmäßige
Abschreibungen, bewertet. Nutzungsdauern wurden entsprechend dem wirtschaftlichen
und technischen Werteverzehr festgelegt.
Die Finanzanlagen werden grundsätzlich mit den Anschaffungskosten beziehungsweise
mit den ihnen beizulegenden niedrigeren Werten bilanziert.
Wirtschaftsgüter mit Anschaffungskosten bis EUR 410 werden im Jahr des Zugangs
als
GWG bilanziert und im Zugangsjahr vollständig abgeschrieben.
Umlaufvermögen
Die Bewertung der Roh-, Hilfs- und Betriebsstoffe erfolgt zu den Anschaffungskosten
unter Berücksichtigung des Niederstwertprinzips. Waren werden zu den Anschaffungskosten
einschließlich Nebenkosten angesetzt. Abwertungen für Bestandsrisiken, die sich aus
der Lagerdauer und verminderten Verwertbarkeit ergeben, werden in angemessenem Umfang
vorgenommen.
Unfertige und fertige Erzeugnisse sind zu Herstellungskosten bewertet. In diese
werden
neben den Einzelkosten auch angemessene Teile der Materialgemeinkosten, der Fertigungsgemeinkosten
und des Werteverzehrs des Anlagevermögens eingerechnet. Dabei wird das Niederstwertprinzip
beachtet. Bestandsrisiken, die sich aus der Lagerdauer, geminderter Verwendbarkeit
usw. ergeben, werden durch Abwertungen berücksichtigt. Die niedrigeren beizulegenden
Werte werden im Wesentlichen nach den Verhältnissen am Beschaffungsmarkt und am Absatzmarkt,
aber unter Berücksichtigung der Einsatzmöglichkeiten der Bestände ermittelt. Abwertungen
für Bestandsrisiken, die sich aus der Lagerdauer und verminderter Verwertbarkeit ergeben,
werden in angemessenem Umfang vorgenommen.
Die geleisteten Anzahlungen sind zum Nennbetrag angesetzt.
Forderungen und sonstige Vermögensgegenstände werden mit dem Nennwert bzw. mit
dem
am Bilanzstichtag beizulegenden niedrigeren Wert bewertet. Erkennbare Risiken werden
durch Wertberichtigungen berücksichtigt. Neben Einzelwertberichtigungen für spezifisch
bekannte Forderungsrisiken werden Pauschalwertberichtigungen gebildet. Die Pauschalwertberichtigung
sowie die Teilwertabschreibung für Forderungen aus dem Liefer- und Leistungsverkehr
werden nach vernünftiger kaufmännischer Beurteilung vorgenommen.
Für Vermögensgegenstände, die ausschließlich der Erfüllung von Verpflichtungen
aus
Pensionszusagen dienen und dem Zugriff aller übrigen Gläubiger entzogen sind, erfolgt
die Bewertung zum beizulegenden Zeitwert. Dieser wird mit den jeweils zugrunde liegenden
Verpflichtungen gemäß § 246 Abs. 2 HGB verrechnet. Entsprechend wird mit den zugehörigen
Aufwendungen und Erträgen aus Zinseffekten und aus dem zu verrechnenden Vermögen verfahren
und im Finanzergebnis ausgewiesen. Ein Verpflichtungsüberhang, wird unter den Rückstellungen
erfasst. Übersteigt der Wert der Vermögensgegenstände die Verpflichtungen, erfolgt
der Ausweis als Aktiver Unterschiedsbetrag aus der Vermögensverrechnung auf der Aktivseite
der Bilanz.
Die flüssigen Mittel sind zum Nennwert bilanziert.
Aktive Rechnungsabgrenzungsposten wurden gebildet und Vorauszahlungen für zukünftige
Zeiträume zeitanteilig abgegrenzt.
Latente Steuern
Nach der bilanzorientierten Verbindlichkeitenmethode werden für sämtliche temporäre
Differenzen zwischen den steuerlichen und den handelsbilanziellen Wertansätzen, sowie
auf temporär wirkende Konsolidierungsmaßnahmen latente Steuern gebildet.
Die in der Bilanz ausgewiesenen passiven latenten Steuern i.H.v. 229 TEUR resultieren
aus der Zusammenführung und der Verrechnung der Werte aus den Einzelabschlüssen mit
den sich aus Konsolidierungsvorgängen ergebenen Steuern.
Die latenten Steuern werden auf Basis der Steuersätze ermittelt, die nach der derzeitigen
Rechtslage in den einzelnen Ländern zum Realisationszeitpunkt gelten bzw. erwartet
werden. Die länderspezifischen Steuersätze der einzelnen relevanten Konzerngesellschaften
liegen zwischen 20 % und 30 %.
Eigenkapital
Das gezeichnete Kapital wird zum Nennwert bilanziert.
Im Eigenkapitalspiegel ist die Entwicklung des Eigenkapitals einschließlich der
Anteile
anderer Gesellschafter erfasst.
Rückstellungen
Der Ansatz der Pensionsrückstellungen beruht auf versicherungsmathematischen Gutachten
(Teilwertverfahren). Für die inländischen Konzerngesellschaften wurden dabei die Richttafeln
2005 G von Klaus Heubeck herangezogen. Die zugrunde gelegten Zinssätze bewegen sich
in einer Bandbreite von 4,0 % bis 6,0 % p.a. Die abgeschlossenen Pensionszusagen sind
unabhängig von zukünftigen Gehaltssteigerungen, daher wurde keine Gehaltsdynamik berücksichtigt.
Jährliche Rentensteigerungen wurden mit 1,5 % zugrunde gelegt.
Anstelle der Ermittlung individueller Abzinsungssätze für jede einzelne Verpflichtung
wird eine in Anlehnung an § 253 Abs. 2 Satz 2 HGB zulässige, pauschale Restlaufzeit
aller Verpflichtungen von 15 Jahren angenommen.
Sonstige Rückstellungen werden gebildet, soweit eine rechtliche oder faktische
Verpflichtung
aus einem vergangenen Ereignis gegenüber Dritten besteht, die wahrscheinlich künftig
zu einem Abfluss von Ressourcen führt und zuverlässig geschätzt werden kann.
Die Rückstellungen werden für die erkennbaren Risiken und ungewissen Verpflichtungen
mit dem Betrag angesetzt, der die bestmögliche Schätzung der Ausgaben darstellt, die
zur Erfüllung der gegenwärtigen Verpflichtung erforderlich ist. Rückgriffsansprüche
werden dabei nicht berücksichtigt. Der Erfüllungsbetrag umfasst auch die am Bilanzstichtag
erkennbaren Kostensteigerungen. Rückstellungen mit Laufzeiten von mehr als zwölf Monaten
werden mit dem marktüblichen Zinssatz abgezinst. Der Abzinsungssatz ist ein Satz vor
Steuern, der die aktuellen Markterwartungen im Hinblick auf den Zinseffekt sowie die
für die Schuld spezifischen Risiken widerspiegelt. Aufzinsungen werden als Zinsaufwand
erfasst.
Steuerrückstellungen wurden unter Berücksichtigung der geleisteten Vorauszahlungen
in Höhe der zu erwartenden Nachzahlungen gebildet.
Verbindlichkeiten
Verbindlichkeiten sind grundsätzlich mit ihrem Rückzahlungsbetrag (Erfüllungsbetrag)
angesetzt.
Die im jeweiligen Geschäftsjahr erhaltenen Zahlungen werden als passive Rechnungsabgrenzungsposten
abgegrenzt, soweit sie auf das Folgejahr entfallen.
Währungsumrechnung
Umrechnungen der in Landeswährung aufgestellten Jahresabschlüsse der ausländischen
Tochterunternehmen außerhalb der Eurozone erfolgten bei den Bilanzposten zum Devisenkassamittelkurs.
Aufwands- und Ertragsposten wurden zum jeweiligen Jahresdurchschnittskurs umgerechnet.
Die funktionale Währung des Mutterunternehmens ist der Euro. Eine Umrechnung von
Fremdwährungsabschlüssen
erfolgte für alle Positionen der Bilanz und der Gewinn- und Verlustrechnung zum jeweiligen
Abschlussstichtag.

B. Erläuterungen zur Konzernbilanz
(1) Anlagevermögen
Die Entwicklung der einzelnen Posten des Anlagevermögens ist auf Seite 12 zu diesem
Anhang dargestellt.
Im Anlagenspiegel ist die detaillierte Entwicklung der immateriellen Vermögensgegenstände
sowie der Sach- und Finanzanlagen ersichtlich.
Das Sachanlagevermögen beträgt insgesamt 24.031 TEUR (Vj. 21.464 TEUR). Es handelt
sich hierbei überwiegend um Grundstücke, grundstücksgleiche Rechte und Bauten einschließlich
der Bauten auf fremden Grundstücken.

Die Forderungen gegen Unternehmen, mit denen ein Beteiligungsverhältnis besteht,
resultieren
insbesondere aus dem Liefer- und Leistungsverkehr und der Konzernfinanzierung. Die
Restlaufzeit der Forderungen und sonstigen Vermögensgegenstände liegen unter einem
Jahr.
Des Weiteren beinhalten die sonstigen Vermögensgegenstände im Wesentlichen Forderungen
aus sale and lease back, Steuerforderungen sowie übrige sonstige Forderungen. Der
deutliche Anstieg der Forderungen aus Sale and Lease Back i.H.v. rd. 2,5 Mio. Euro
ist auf die Konzernmuttergesellschaft zurückzuführen.
(4) Eigenkapital
Im Eigenkapital werden die im Gesellschaftsvertrag festgelegte Stammeinlage der
Alleingesellschafterin,
zum Nennwert, Kapitalrücklagen, andere Gewinnrücklagen, der Jahresüberschuss, der
Währungsausgleichsposten und die Minderheitsanteile ausgewiesen.
Die Entwicklung des Konzerneigenkapitals und die Darstellung des Konzerngesamtergebnisses
sind auf Seite 13 dargestellt.
Das gezeichnete Kapital der Muttergesellschaft beträgt 1.000.000,00 Euro. Dieses
entspricht
dem Kapital der Mipa Gruppe. Es besteht aus 100.000 Stammaktien, die als nennbetragslose
Stückaktien ausgegeben wurden. Die Stammaktien lauten auf den Namen.
Die aus der Kapitalkonsolidierung entstandenen passivischen Unterschiedsbeträge
i.H.v.
2.182 TEUR sind unter dem Eigenkapital in einer gesonderten Position ausgewiesen.
Sonstige Veränderungen im Eigenkapital sind im Rahmen eines Konsolidierungsvorgangs
in Zusammenhang mit Beteiligungserträgen von Holdinggesellschaften entstanden.
Am Ende des Geschäftsjahres bestehen ausschüttungsgesperrte Beträge i.H.v. 183
TEUR
und sind ausschließlich auf den Unterschiedsbetrag aus der Berechnung der Pensionsrückstellung
zurückzuführen (§ 253 Abs. 6 HGB).
Im Eigenkapitalspiegel sind Angaben zur weiteren Entwicklung des Konzerneigenkapitals

Der Erfüllungsbetrag der mit dem Deckungsvermögen verrechneten Pensionsverpflichtung
betrug 1,5 Mio. Euro. Die Zeitwerte der Rückdeckungsversicherung entsprechen dem vom
Versicherer nachgewiesenen Deckungskapital und damit den Anschaffungskosten.
Die sonstigen Rückstellungen decken alle erkennbaren Risiken und sonstigen ungewissen
Verpflichtungen ab. Sie beinhalten im Wesentlichen Rückstellungen für Archivierung,
Urlaubsansprüche und Reklamationen sowie Prüfungs- und Abschlusskosten. Langfristige
Rückstellungen wurden fristenkongruent bewertet.

C. Erläuterungen zur Konzern-Gewinn- und Verlustrechnung
(7) Umsatzerlöse
Auf dem deutschen Markt wurden im Geschäftsjahr rd. 35,4 % der Umsätze generiert.
Mit rd. 42,0 % der Umsätze war Europa die umsatzstärkste Region. Die erwirtschafteten
Erlöse in den übrigen Regionen, gemessen am Gesamtumsatz, betrugen rd. 22,6 %.
(8) Sonstige betriebliche Erträge
Die wesentlichen Bestandteile der sonstigen betrieblichen Erträge umfassen Schadenersatzzahlungen
und Versicherungsentschädigungen i. H. v. rd. 467 TEUR, Sachbezüge i. H. v. rd. 252

Die sonstigen Zinsen und Erträge i. H. v. 255 TEUR, davon verbundene nicht konsolidierte
Unternehmen i.H.v. 21 TEUR, umfassen in 2016 im Wesentlichen übrige sonstige Zinsen
i. H. v. 234 TEUR.
(14) Zinsen und ähnliche Aufwendungen
Die Zinsen und ähnlichen Aufwendungen i. H. v. 538 TEUR, davon verbundene nicht
konsolidierte
Unternehmen i.H.v. 0 TEUR, umfassen im Wesentlichen Bankzinsen für Darlehen und Kredite.
Unter den sonstigen Zinsen und ähnlichen Aufwendungen sind der Nettoaufwand aus
der
Aufzinsung der Pensionsrückstellung (59 TEUR) nach Verrechnung mit den Erträgen aus
dem Deckungsvermögen (57 TEUR) erfasst.
(15) Steuern vom Einkommen und Ertrag
Als Steuern vom Einkommen und Ertrag werden Körperschaftsteuer, Gewerbesteuer und
Solidaritätszuschlag ausgewiesen. Sie betreffen mit Ausnahme der passiven latenten
Steuern ausschließlich das Ergebnis der gewöhnlichen Geschäftstätigkeit. Es werden
Steueraufwendungen und Steuererträge aus den nach den jeweiligen landesrechtlichen
ermittelten Jahresabschlüssen der in- und ausländischen Konzerngesellschaften ausgewiesen.
In Deutschland gilt ein Körperschaftsteuersatz von 15,0 %. Unter Berücksichtigung
eines durchschnittlichen Gewerbeertragssteuersatzes von 15,0 % sowie des Solidaritätszuschlags
(5,5 % auf die Körperschaftsteuer) ermittelt sich für inländische Unternehmen ein
kombinierter Steuersatz von 30,83 %.
Aus den in der Bilanz ausgewiesenen passiven latenten Steuern wird eine Steuerbelastung
i.H.v. rd. 229 TEUR erwartet.
D. Erläuterungen zur Konzern-Kapitalflussrechnung
Im Berichtsjahr konnte der Jahresüberschuss mit 12.590 TEUR im Vergleich zum Vorjahr
deutlich gesteigert werden. Der Cashflow aus laufender Geschäftstätigkeit betrug 13.526
TEUR. Der Cashflow aus Investitionstätigkeit belief sich auf 5.761 TEUR und der Cashflow
aus Finanzierungstätigkeit auf 1.534 TEUR. Am Ende des Berichtsjahres beträgt der
Finanzmittelfonds 18.167 TEUR.
E. Haftungsverhältnisse, sonstige finanzielle Verpflichtungen
Die Sicherheiten für fremde Verbindlichkeiten werden von der Obergesellschaft gestellt.
Sie wurden ausschließlich gegenüber verbundenen Unternehmen für Kreditlinien und Liegenschaftskäufe
abgegeben. Das Risiko einer Inanspruchnahme wird jeweils als gering eingeschätzt.
Diese Einschätzung beruht vor allem auf den Bonitätsbeurteilungen der Primärverpflichteten
sowie auf Erkenntnissen vergangener Geschäftsjahre. Sonstige finanzielle Verpflichtungen
nach § 251 HGB bestehen in 2016 insgesamt i. H. v. 8.141 TEUR und beinhalten im Wesentlichen
Verpflichtungen aus Dienstleistungs- und Mietverträgen sowie dem offenen Bestellobligo
aus Investitionen. Des Weiteren betrugen die Bürgschaften 13.701 TEUR.
F. Honorar der Abschlussprüfung
Für die gesetzlich vorgeschriebene Jahresabschlussprüfung sind im Geschäftsjahr
2016
Aufwendungen i. H. v. 74 TEUR angefallen.
G. Sonstige Angaben
(16) Mitarbeiter
Die durchschnittliche Gesamtzahl der Mitarbeiter im Geschäftsjahr 2016 in der Gruppe
betrug 1007 Mitarbeiter (davon 50 Auszubildende).
Im Vorjahr waren 975 Mitarbeiter beschäftigt (davon 46 Auszubildende).
(17) Gesamtbezüge der Geschäftsführung
Die Gesamtbezüge der Geschäftsführung betrugen 803.746,78 Euro (Vj. 748.764,72
Euro).
(18) Bezüge ehemaliger Organmitglieder
Die Schutzklausel gemäß § 286 Abs. 4 HGB wird in Anspruch genommen.
